Welcome to INDOCHINE CHIC! These Terms and Conditions (“Terms”) govern your access to and use of the websites, applications, software, and related services (collectively, the “Services”) provided by Asia Travel Mates Corp (“INDOCHINE CHIC”, “we”, “us”, or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 13 years old (or the age of digital consent in your country) to use the Services. If you are between 13 and the age of majority, you confirm that you have parental or guardian permission to use the Services. Our Services are not intended for children under 13, and we do not knowingly collect personal data from children under 13.

2. Account Registration and Security

To use certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are solely responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately at privacy@indochinechic.com if you suspect unauthorized access.

3. Travel Services Description

INDOCHINE CHIC provides AI-powered chatbot support for travel services that allow you to create tour plans, obtain travel information, receive destination recommendations, and access related travel assistance (“Outputs”). You retain ownership of any content you input (“Inputs”), and subject to these Terms, you grant us a license to use Inputs and Outputs to provide, maintain, and improve the Services. You are responsible for the content you submit and for compliance with all applicable laws.

You may not:

• Use the Services in any way that violates any applicable law or regulation.
• Attempt to reverse engineer, decompile, or extract the source code of our software or models.
• Use the Services to generate content that is harmful, abusive, harassing, defamatory, obscene, or infringing on intellectual property rights.
• Circumvent any security or access controls of the Services.
• Use automated scripts or bots to interact with the Services without our prior written consent.
• Share any sensitive personal data (as defined in our Privacy Policy) through the Services.

We reserve the right to suspend or terminate your access if you violate these Terms.

4. Intellectual Property

All rights, title, and interest in and to the Services (excluding content provided by users) are owned by INDOCHINE CHIC or its licensors. This includes the software, algorithms, trademarks, logos, and any underlying technology. You may not copy, modify, or distribute any part of the Services without our prior written consent.

For Outputs generated by the AI: as between you and us, you own the Outputs, subject to compliance with these Terms and applicable laws. However, because Outputs may be similar for different users, we do not guarantee exclusivity. You are solely responsible for the use of Outputs, including ensuring they do not infringe third-party rights.

5. Content Moderation and Safety

We strive to provide a safe environment. We may review, monitor, or moderate Inputs and Outputs to enforce these Terms and comply with legal obligations. We reserve the right to remove any content that violates these Terms or is otherwise harmful. We do not guarantee that Outputs will be accurate, complete, or reliable, and you should not rely on them as sole sources of truth for travel decisions.

6. Fees and Payments

Some features of the Services may be offered on a paid basis. If you purchase a subscription or other paid services, you agree to pay all applicable fees as described. Fees are non-refundable except as required by law or as expressly stated in the applicable offer. We may change fees upon notice to you.

7. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your access to the Services at our sole discretion, without notice, if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Services will cease immediately, and we may delete your account data subject to our Privacy Policy and legal retention obligations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INDOCHINE CHIC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING ANY RELIANCE ON TRAVEL-RELATED OUTPUTS, BOOKING DECISIONS, OR ANY TRAVEL-RELATED LOSSES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless INDOCHINE CHIC and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.

11. Third-Party Travel Services

The Services may contain links to third-party travel websites, booking platforms, or other services. We do not control or endorse such third parties, and we are not responsible for their content, policies, or practices. Any bookings, payments, or interactions with third-party travel providers are solely between you and them. We are not a travel agency and do not arrange or guarantee any travel services.

12. Modifications to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by updating the “Last Updated” date and posting the revised Terms. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Hanoi, Vietnam. For users in the European Economic Area or UK, you may also have rights to bring claims before your local courts under applicable consumer protection laws.

14. International Use

We control and operate the Services from our facilities in Vietnam. If you access the Services from other locations, you are responsible for compliance with local laws. You agree not to use the Services in any jurisdiction where such use is prohibited by law.

15. Miscellaneous

These Terms constitute the entire agreement between you and INDOCHINE CHIC regarding the Services. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of such right or provision. You may not assign these Terms without our prior written consent, but we may assign them without restriction.

Supplemental Terms for European Users (EEA, Switzerland, UK)

If you are using the Services in the European Region, the following additional terms apply:

• Consumer rights: Nothing in these Terms limits your statutory rights as a consumer under applicable local law.
• Right of withdrawal: If you are a consumer and you purchased a digital service online, you may have the right to withdraw from the purchase within 14 days without giving any reason, unless you expressly agreed that performance begins before the withdrawal period ends and acknowledged that you lose the right of withdrawal.
• Jurisdiction: You may bring claims in the courts of your country of residence in accordance with EU/UK law.
• Liability limitations: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.
