Supplier Agreement
Indochine CHIC (Asia Travel Mates Corp) & Travel Service Supplier
Parties
1. Purpose
Indochine CHIC operates a luxury travel marketplace (the “Platform”). Supplier wishes to list and sell travel services through the Platform. This Agreement governs that relationship.
2. Representations & Warranties
Supplier warrants that it holds all necessary licenses, permits, and liability insurance. All listings shall be accurate, truthful, and non-discriminatory. Supplier commits to providing services in a professional, safe, and luxurious manner.
3. Listing & Commission
Indochine CHIC reserves the right to curate all listings. The commission rate is set at ____% of the total booking value (excluding taxes). Rates are subject to review with 30 days’ written notice.
4. Payment & Remittance
Indochine CHIC collects full payment at the time of booking. Remittance to the Supplier will occur ____ days after service completion. Bank fees and currency conversion costs are the responsibility of the Supplier.
5. Service, Cancellations & Disputes
Supplier is solely responsible for service delivery, customer service, and the management of cancellations/refunds in accordance with their written policies. Indochine CHIC facilitates financial refunds only after the Supplier has processed the return of funds.
6. Liability & Indemnification
Supplier assumes all liability for the services provided and agrees to maintain commercial general liability insurance of at least $10,000 USD. Supplier shall indemnify Indochine CHIC/Asia Travel Mates Corp against any claims arising from Supplier negligence, misconduct, or failure to perform.
7. Data Privacy
Supplier shall process traveler data strictly for the purpose of fulfilling bookings and in accordance with applicable data protection laws, including Vietnam’s Law on Cyber Security.
8. Termination & Governing Law
Either party may terminate this Agreement with 30 days’ notice. This Agreement is governed by the laws of Vietnam. Disputes shall be resolved by binding arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
